Affiliate Program Terms

These Affiliate Program Terms (the "Terms") are a binding agreement between you (the "Affiliate") and Erianux LLC, a Wyoming limited liability company ("Erianux", "we", "us"). They govern every aspect of your participation in the Erianux Affiliate Program (the "Program").

You accept these Terms by submitting an application, by using an affiliate code or link we issue you, or by accepting a payout — whichever happens first. If you participate on behalf of a company, you represent that you are authorised to bind it, and "you" includes that company.

Admission is at our sole discretion. Applications are reviewed individually; we may decline any application, or any reapplication, without stating a reason. You must be at least 18 years old, able to form a binding contract, and not located in a jurisdiction subject to United States sanctions. One affiliate account per person or entity. All information you give us in the application and afterwards must be accurate and kept current — a material falsehood in your application is grounds for termination for cause at any time, no matter when we discover it.

The product Terms of Service govern any purchase, including your own; these Terms govern the Program. Where the two overlap, these Terms control for Program matters.

"Code" — a discount or referral code we issue to you personally. "Link" — a referral URL we issue to you personally. Codes and Links are Erianux property, licensed to you for the Program, revocably and non-transferably.

"Referred Sale" — a completed, paid purchase of an Erianux product that is attributed to you under Section 5 and has not been reversed under Section 6.

"Net Sale Value" — the amount the buyer actually paid to Erianux for the product, after any discount (including your own Code's discount) and excluding taxes, shipping, payment-processor fees charged to the buyer, and any refunded or charged-back amount. Commission is always computed on Net Sale Value — never on list price.

"Review" — a check-in every six months from your approval date, at which we confirm your running Referred Sale count and tier and discuss any accommodations. Your count does not restart at a Review or at any other time.

"Our records" — Erianux's payment-processor records and internal attribution records. Our records are the authoritative and final account of clicks, code use, sales, reversals and commission, absent manifest error.

Your rate is set by your running count of Referred Sales, from your approval date onward. The count does not reset. When your count crosses a tier boundary, every Referred Sale from that point pays at the new tier — whole-tier, not marginal — and a tier reached is kept. Every six months we hold a Review: a check-in on how it is going, whether your tier has moved, and whether any accommodations need to be made; any accommodation is agreed in writing and is personal to you. Reversed sales are deducted from the count; if a reversal drops you below a tier boundary, commissions not yet paid are recomputed at the correct tier.

You earn your tier percentage of the Net Sale Value of any Erianux product purchased in a Referred Sale, catalogue-wide.

No commission is earned on: free trials or any free product; a purchase by you, your household, or an entity you own or control (Section 8); a sale later reversed under Section 6; a sale attributed to another affiliate; taxes, fees, or any amount the buyer did not actually pay; or any transaction our records show as fraudulent, disputed, or made in violation of these Terms. A trial converts to commission only if and when the trial user completes a paid purchase attributed to you.

A sale is attributed to you when the buyer completes their purchase within 60 days of clicking your Link or entering your Code, and your Code or Link is the last Erianux code or link the buyer used before checkout. One affiliate per sale — attribution is never split.

Where link tracking is unavailable or inconclusive, the Code entered at checkout is conclusive. A sale with no Code at checkout and no tracked Link within the window is a house sale and earns no commission — there is no retroactive attribution, and we do not re-assign sales on request, the buyer's or yours. What our records show is what is paid.

Sales of Erianux digital products are final under the Refund Policy, so reversal is the exception, not the norm. A commission is reversed, and clawed back if already paid, when:

(a) the buyer charges back or otherwise disputes the payment; (b) the payment fails, is cancelled, or is returned; (c) a refund is issued where the law of the buyer's jurisdiction requires it or Erianux elects to issue one; (d) the sale is found to be fraudulent, self-referred, incentivised without approval, or otherwise made in violation of these Terms; or (e) the sale was mis-attributed by manifest error.

Reversed amounts are deducted from your next payout; if reversals exceed a payout, the negative balance carries forward against future commissions. If we reasonably suspect fraud or a violation, we may hold affected commissions for up to 90 days while we investigate; commissions confirmed clean are then released in the normal course, and commissions confirmed tainted are void.

Commissions are paid monthly, in US dollars, for Referred Sales whose 60-day attribution window has closed, once your tax form (Section 11) is on file. Payment is by the method the Program offers at the time; any fee your payment provider or bank charges on receipt is yours.

Balances under $250 roll forward and pay out in the first month the balance reaches $250 — nothing is forfeited by rolling forward. A payout we cannot deliver because your payment details or tax form are missing or wrong accrues and is released when you correct them.

No guarantee of earnings. The Program pays a percentage of sales that actually occur. Erianux makes no representation about the traffic, conversion, income or results you will achieve, and you may not make such representations to others (Section 13).

You cannot earn on your own purchases. A purchase by you, by anyone in your household, or by any entity you own, control or work for that buys at your direction, routed through your own Code or Link, is a self-referred sale: it is void for commission, it does not count toward your tier, and a pattern of self-referral is termination for cause. Your Code's discount on your own purchase is likewise not permitted unless we say so in writing.

United States law (FTC, 16 C.F.R. Part 255) requires you to clearly and conspicuously disclose your material connection to Erianux — that you earn commission on purchases — in every video, post, stream, page, email or other promotion that carries your Code or Link. The disclosure must be unmissable before the audience acts: in the spoken content and description of a video, not only buried in a fold-out; at the top of a written piece, not the footer.

You must also follow the disclosure and branded-content rules of every platform you publish on (YouTube, X, Instagram, Discord and the rest). A missing or buried disclosure is a material breach of these Terms, and you — not Erianux — are responsible for any regulator's or platform's response to your content.

Erianux sells charting and analysis software. It does not sell trading outcomes, and neither do you. In every promotion, you must not:

(a) state or imply that any Erianux product produces profits, wins, income or any trading result, or guarantee any outcome from using it; (b) present hypothetical, simulated or replayed results as live trading results, or present any results without the limitations our published Disclaimer attaches to them; (c) give trading, investment or financial advice in Erianux's name, or hold yourself out as Erianux, its employee or its agent; (d) contradict the product pages, the Terms of Service, the Refund Policy or the Disclaimer — including inventing discounts, trials, refund rights or features that do not exist; or (e) state or imply that NinjaTrader, Quantower or any other platform endorses Erianux or your content.

Describe what the tools do — that is enough, it is what they are bought for. If a claim you want to make does not appear on our own site, ask us before publishing it. You are solely responsible for your content, and a promotion that violates this section voids the commissions it produced and is grounds for termination for cause.

Before your first payout you provide the correct tax form, and you keep it current.

US-based partners: IRS Form W-9. Erianux issues a Form 1099-NEC if you earn $600 or more in a calendar year. If a required form is missing or invalid, we may apply backup withholding as the IRS requires, or hold the payout until the form is on file.

Partners outside the US: IRS Form W-8BEN (individual) or W-8BEN-E (company). No 1099 is issued, and US-source withholding may apply depending on your country and any applicable tax treaty.

You are an independent contractor (Section 15): every tax on your commission income — income, self-employment, VAT or otherwise — is yours, in every jurisdiction that claims you.

ERIANUX™ is a trademark of Erianux LLC (U.S. federal trademark application pending). While you are in the Program we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Erianux name and the promotional assets we provide, solely to promote Erianux products under these Terms. All goodwill from that use belongs to Erianux.

You must not: register or use any domain name, social-media handle, channel name, app name or email address containing "Erianux" or a confusingly similar string; alter our logos or lockups; bid on "Erianux" or misspellings of it as paid-search keywords or use them in ad copy that presents you as us; present your site or channel as an official Erianux property; or use the mark on or beside content that is unlawful, deceptive or defamatory. This licence ends the moment your participation ends, and every use of the mark stops with it.

Each of the following is a material breach. It voids the commissions it touched, and it is grounds for immediate termination for cause:

(a) fake, incentivised or manufactured sales, or purchase incentives (cash-back, prizes, bounties) we did not approve in writing; (b) posting Codes to coupon, deal or voucher sites or aggregators, or trading in Codes — Codes are personal and non-transferable; (c) cookie stuffing, forced or hidden clicks, iframes, redirects or any manipulation of attribution; (d) spam in any channel, or email marketing that violates CAN-SPAM or the recipient's local law; (e) impersonating Erianux in ads, handles, sender names or support; (f) promoting to or targeting minors; (g) placing our brand or Links on unlawful, hateful, or deceptive content; (h) recruiting sub-affiliates, sharing, selling or transferring your Code, Link or account without our prior written consent; (i) reverse engineering, decompiling or redistributing any Erianux product, or helping anyone else do so — the products you promote are licensed, proprietary software; and (j) any earnings-claim or advice conduct prohibited by Section 10.

Codes and Links remain Erianux property. We may rotate, re-issue or deactivate any Code or Link at any time — for security, for a leaked or scraped code, or on reasonable suspicion of abuse — and issue you a replacement where the cause is not yours. Deactivation of a leaked code is not termination and does not touch commissions already earned cleanly.

Choosing your own Code name. You may choose the wording of your Code once, in the partner portal; any later change is made by us on a request through Support. A Code name must not contain vulgar, obscene or sexual wording, hate speech or slurs, wording that demeans any person or group, threats or references to violence or illegal activity, or anything else a reasonable person would find inappropriate on a checkout page; nor may it imitate Erianux, another company or another person, or promise a result. We may refuse, remove or replace any Code name at our discretion. Choosing or requesting a Code name that breaks this paragraph is prohibited conduct under Section 13 and is grounds for immediate termination for cause and closure of your account.

You are an independent contractor. Nothing in the Program creates an employment, agency, partnership, joint-venture or franchise relationship. You have no authority to bind Erianux to anything — no promise, discount, refund, feature or timeline you offer binds us. The Program is non-exclusive in both directions: we may run other marketing and other affiliates; you may promote other products, provided the conflict does not involve misuse of our confidential information. Your costs of promotion are yours; nothing is reimbursed.

Non-public Program information — individually offered rates, unreleased products or dates, performance data we share with you, and the content of our private communications — is confidential. Use it only to perform under these Terms and do not disclose it. The published tier table is public; a privately negotiated deviation from it is not. This section survives termination.

These Terms apply from your acceptance until terminated. Either party may terminate at any time, with or without reason, by written notice (email suffices).

On ordinary termination: your Codes and Links deactivate, the trademark licence ends, and commissions on Referred Sales already completed and cleanly attributed are paid in the normal course as their windows close. No commission accrues on anything after the termination date.

On termination for cause (a material breach of Sections 8, 9, 10, 12 or 13, fraud, or a material falsehood in your application): unpaid commissions are forfeit, paid commissions on tainted sales are recoverable as a debt, and we may pursue any other remedy the law allows. Sections 2, 6, 11, 15, 16, 17, 18, 19 and 20 survive any termination.

The Program, its tracking and its portal are provided "as is" and "as available". We do not warrant uninterrupted tracking or portal availability, and an outage's sole remedy is our good-faith reconstruction of attribution from our records.

TO THE MAXIMUM EXTENT THE LAW ALLOWS, ERIANUX'S TOTAL LIABILITY TO YOU UNDER OR IN CONNECTION WITH THE PROGRAM IS CAPPED AT THE COMMISSIONS PAID TO YOU IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND ERIANUX IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR GOODWILL, HOWEVER ARISING.

You will defend, indemnify and hold harmless Erianux LLC and its members, officers, employees and agents from any claim, demand, loss, penalty or expense (including reasonable attorneys' fees) arising out of your promotions and content, your breach of these Terms, your violation of law or platform rules, or your taxes. We may assume the defence of any matter subject to indemnification, at your expense, and you will cooperate.

These Terms are governed by the law of the State of Texas, United States, without regard to conflict-of-law principles — the same law that governs the product Terms of Service. Any dispute arising out of or relating to the Program is resolved the same way the Terms of Service resolve product disputes: final, binding individual arbitration, not class or representative proceedings, per Section 17 of the Terms of Service, which is incorporated here. Erianux may seek injunctive relief in any competent court for trademark misuse or misuse of confidential information — those harms cannot wait for arbitration.

We may change these Terms, the tiers or the rates with 14 days' notice by email to the address on your account. Changes are prospective only — they never apply to commissions already earned. Continued participation after the notice period is acceptance; if you do not accept, your remedy is to stop participating, and Section 17's ordinary-termination effect applies.

These Terms, your approved application, and the documents they reference are the entire agreement for the Program and supersede prior discussions. If any provision is unenforceable, it is limited to the minimum extent necessary and the rest stands. Our not enforcing a provision once is not a waiver of it. You may not assign this agreement; we may assign it to a successor of the business. Notices to you go to the email on your account and are effective when sent; notices to us go to business@erianux.com for Program matters and legal@erianux.com for legal notices.
